Terms of Use

1. Eligibility

LexFrame is intended exclusively for use by:

• Licensed attorneys admitted to practice in one or more U.S. jurisdictions
• Law firm staff (paralegals, legal assistants, law clerks) working under attorney supervision

You represent and warrant that you meet the eligibility requirements. Use by members of the general public is strictly prohibited.

2. Permitted Use

You may use LexFrame to:

• Conduct legal research for matters you are handling as a licensed attorney
• Generate first-pass drafts for attorney review
• Structure legal arguments and analyze legal issues
• Assist with jurisdiction-aware legal analysis

All Outputs must be reviewed by a licensed attorney before use or filing.

3. Prohibited Uses

You may NOT use LexFrame to:

• Provide legal advice to the general public or engage in unauthorized practice of law (UPL)
• File documents with courts or administrative bodies without attorney review
• Advise clients based solely on Outputs without independent professional judgment
• Substitute LexFrame for comprehensive legal research or attorney supervision
• Violate any applicable laws, rules of professional conduct, or ethical obligations
• Reverse engineer, decompile, or attempt to derive source code from LexFrame
• Use LexFrame for any unlawful, fraudulent, or malicious purpose
• Scrape, data mine, or extract data systematically from LexFrame

4. Acceptable Use

You agree to:

• Use LexFrame in compliance with all applicable laws and professional rules
• Verify the accuracy of all citations, legal authorities, and Outputs
• Exercise independent professional judgment in all legal matters
• Maintain client confidentiality and protect sensitive information
• Use reasonable security measures when accessing LexFrame

5. Intellectual Property

LexFrame, Inc. retains all rights, title, and interest in and to LexFrame, including all software, content, trademarks, and intellectual property.

You retain ownership of any factual information or original content you provide to LexFrame. Outputs are provided under a limited license for your professional use only.

6. Payment and Fees

Certain features of LexFrame require payment, including:

• LexFrame Legal Research Snapshot™ (Standard: $149, Premium: $249)
• LexFrame Pro subscription (pricing varies by tier)

Payment terms will be provided at the time of purchase. All fees are non-refundable unless otherwise stated.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEXFRAME, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Professional malpractice claims
• Lost profits or business opportunities
• Damage to professional reputation
• Errors or omissions in Outputs
• Adverse outcomes in legal matters

IN NO EVENT SHALL LEXFRAME, INC.'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR LEXFRAME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless LexFrame, Inc. and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:

• Your use of LexFrame
• Your violation of these Terms
• Your violation of applicable laws or professional rules
• Claims by your clients or third parties

9. Suspension and Termination

We reserve the right to suspend or terminate your access to LexFrame at any time, with or without notice, if:

• You violate these Terms
• You engage in prohibited uses
• Your use poses a risk to LexFrame or other users
• Required by law or legal process

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of LexFrame shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or by posting a notice on LexFrame. Continued use after changes constitutes acceptance of the updated Terms.
